You hereby confirm your wish to examine the information and documents of GROUPP INVEST BELGIUM, whose registered office is at Avenue Louise 231, 1050 Ixelles and which is registered with the Crossroads Bank for Enterprises under no. 0780.724.393 (the "Company"). Company ") in order, in particular, to consider acquiring a stake in its capital (the " Objective "). You acknowledge that your attention has been specifically drawn to the fact that the Information and Documents communicated are strictly confidential and agree, without reservation, to comply with the obligations contained in this undertaking.
CONFIDENTIALITY AND NON-DISCLOSURE UNDERTAKING
1 – CONFIDENTIAL INFORMATION AND DOCUMENTS
1.1 - Confidential information and documents include all information and documents, not known to the public, transmitted directly or indirectly by the Company, in particular by one of its directors, shareholders or its advisers (this list being exemplary), whether marked "confidential" or not, whether disclosed in writing, orally or in any other form, whether tangible or intangible, including, but not limited to, processes, computer programs, algorithms, data, names, financials and plans, customer lists, business plans, contracts, marketing plans, production plans, distribution plans, implementation plans, business concepts, supplier information, business procedures, business operations, and all materials (the "Confidential Information"). Information and documents ").
1.2 - You acknowledge and accept that no guarantee is given by the Company as to the accuracy and exhaustive nature of the Information and Documents communicated.
2 – COMMITMENTS
2.1 - You hereby undertake to use the Information and Documents transmitted solely for the Purpose, where applicable, of subscribing for shares in the Company and to the exclusion of any other purpose whatsoever.
2.2 - You expressly acknowledge that you are aware that the market in which the Company operates is highly confidential and competitive, so that the Information and Documents communicated must under no circumstances be disclosed to anyone and/or used for any purpose other than the Objective, which is strictly personal.
2.3 - You undertake and warrant that any natural person or legal entity linked to you, directly or indirectly, will comply with the same confidentiality and non-disclosure undertakings as those contained in this agreement.
2.4 - You undertake to inform the Company without delay and in writing, as soon as you become aware of or even suspect the disclosure of Information and Documents to third parties by yourself, a related person or even a third party.
2.5 - Upon expiry of this agreement or upon the Company's first written request, you undertake to return directly to the Company all Information and Documents received in written, electronic or other form, including in particular all copies, reproductions, USBs, CD-ROMs or written documents containing Information and Documents. If return is not possible, you undertake to destroy the Information and Documents without delay. The return and/or destruction of the Information and Documents does not release you from your obligations.
3 – DURATION
3.1 - This agreement is entered into for a period of ten years from the date of signature.
4 – JURISDICTION AND APPLICABLE LAW
4.1 - This agreement is governed exclusively by Belgian law.
Any dispute relating to the validity, interpretation or performance of this agreement, which cannot be resolved amicably within a reasonable time, shall be submitted to the exclusive jurisdiction of the Tribunal de l'entreprise Francophone de Bruxelles.
